Mississippi Foreign LLC Registration: How to Register an Out-of-State LLC to Do Business in Mississippi

If your LLC was formed in Tennessee, Alabama, Louisiana, or any other state and you do business in Mississippi, you may need to register it here before you start. Mississippi calls this a foreign LLC registration. The filing costs $250, five times the $50 fee to form a domestic LLC, and it is handled entirely through the Mississippi Secretary of State. This guide covers the steps, fees, and deadlines, and explains how a foreign corporation differs.

This article is informational only. It is not legal or tax advice. Whether your activities require registration depends on facts specific to your business, so talk with a Mississippi-licensed attorney and a CPA before you file, especially if you have employees, property, or regular customers in the state.

Who needs to register in Mississippi

Mississippi does not issue a single general business license. Registering your LLC with the Secretary of State is a registration of the entity, not a license to operate. Whether your activity counts as doing business in Mississippi is a legal question, but many out-of-state companies register once they have a real presence in the state, such as an office, staff, inventory, or a steady flow of Mississippi customers.

Registration matters most in the border metros, where companies cross state lines every day. The Memphis-DeSoto area includes Southaven, Olive Branch, and Horn Lake in DeSoto County. The Mobile-Pascagoula area includes Pascagoula on the Mississippi Gulf Coast. The Vicksburg-Monroe area includes Vicksburg on the Mississippi River. If your customers, crews, or warehouse are on the Mississippi side, plan to register.

Step 1: Get a Certificate of Good Standing from your home state

Mississippi requires you to upload a Certificate of Good Standing (some states call it a Certificate of Existence) from your home state with the application. Order it from your home state's Secretary of State before you start the Mississippi filing. Your home state sets its own fee and turnaround, so check that agency's website. Also confirm that your LLC is current on its home-state annual reports. A home-state certificate will not issue for an entity that is out of good standing, and fixing that problem first avoids a rejected application.

Step 2: Appoint a Mississippi registered agent

Every foreign LLC must keep a registered office and a registered agent in Mississippi for service of process. The agent must have a physical Mississippi street address, and a post office box will not work. Under Miss. Code Ann. 79-29-113, the agent must be one of the following:

  • An individual who is a Mississippi resident
  • A domestic or foreign corporation, nonprofit corporation, or LLC authorized to transact business in Mississippi

The agent's business office must be identical with the registered office. You have two options:

  • Commercial agent: A commercial agent files a listing statement with the Secretary of State for $100, appears on the state website, and must accept or decline a representation within 14 days. This is the easiest option if you lack a Mississippi office, but you will pay the agent's ongoing service fee.
  • Noncommercial agent: No state registration is required, but you must have the agent's permission before you list them. This costs less, but it depends on someone at a Mississippi address who will accept legal papers promptly.

Step 3: Check the name and reserve it if needed

Search your proposed name in the Secretary of State's business search before you file. If another Mississippi entity already uses the name or a similar one, you will need a different name. If you need time to finish paperwork, you can reserve a name for 180 days for $25.

If you will do business under a name other than your LLC's legal name, you need a fictitious business name registration (Form F0070) for $25. Mississippi files these with the Secretary of State, not the county. Do not send a fictitious name filing to the county clerk.

Step 4: File the foreign LLC registration

File Form F0200 through the Secretary of State's online filing portal. Use the out-of-state registration button to start the foreign LLC filing. The fee is $250. Have these items ready before you begin:

  • Your LLC's exact legal name and home state
  • Your formation date and the principal office address
  • Your Mississippi registered agent's name and street address
  • The Certificate of Good Standing from your home state, as a PDF upload

Online filings paid by card are normally approved immediately. Filings that need staff review are usually returned filed within 24 hours. Paper filings take significantly longer, so file online unless you have a specific reason not to.

Check the Secretary of State's fee schedule before you pay. Fees can change, and the schedule is the authoritative source.

Foreign corporations and the Mississippi certificate of authority

Foreign corporations do not register the way LLCs do. They apply for a Mississippi certificate of authority, which is the permission to transact business in the state. The fees are:

  • Foreign profit corporation: $500
  • Foreign nonprofit corporation: $100

The same Certificate of Good Standing and registered agent rules apply. Confirm the current form number and the foreign corporation annual report fee with the Secretary of State, because this guide does not state either figure as settled.

Taxes are a separate question for corporations. Mississippi's franchise tax applies to corporations, not to an LLC taxed as a partnership. For tax year 2026, the franchise tax is $0.50 per $1,000 of capital above $100,000, with a $25 minimum. It steps down to $0.25 for 2027 and is repealed effective January 1, 2028. Corporate income tax is 0% on the first $5,000 of taxable income, 4% on the next $5,000, and 5% above $10,000. An LLC that elects corporate tax treatment faces these taxes too. Confirm your exposure with a CPA.

Annual reports, deadlines, and reinstatement

A foreign LLC files an annual report with a fee of $250. It is due April 15 each year, like other Mississippi LLC reports, and it must be filed online. LLC annual reports may be filed on or after January 1. Put April 15 on your calendar the day you receive your registration, and budget for the $250 fee. A domestic LLC pays no fee for its annual report, so this is a common surprise for out-of-state owners.

If your registration lapses, reinstatement costs $100 for a foreign LLC. Reinstatement is a cost you can avoid with a calendar reminder.

Licenses, city privilege licenses, and sales tax

Mississippi has no state general business license, so the registration above is the only state entity filing most LLCs make. Other permits come from local governments and state boards.

  • City privilege license: Every city, town, and village issues its own privilege license under Miss. Code Ann. 27-17. Fees vary by locality, so ask the city clerk where you will operate.
  • County license: Counties license only businesses located outside municipalities. If you operate inside a city, the county does not license you.
  • Industry or occupational licenses: Some trades and professions require a license from the relevant state board. Confirm requirements with that board.
  • Sales tax permit: If you sell taxable goods or services in Mississippi, register with the Department of Revenue for a sales tax permit. The permit has no fee, but a bond may be required for applicants with no permanent Mississippi location.

The state sales tax rate is 7%. There is no county add-on, and city levies apply only in Jackson and Tupelo. Confirm your sales tax obligations with the Department of Revenue before your first sale.

Common mistakes to avoid

  • Filing before the home-state Certificate of Good Standing is in hand
  • Naming a registered agent without a Mississippi street address
  • Assuming the $50 domestic LLC fee applies to a foreign registration
  • Missing the April 15 annual report and the $250 fee that comes with it
  • Filing a fictitious name with the county instead of the Secretary of State
  • Operating under a trade name without a Form F0070 registration

Next steps

  1. Confirm your home-state entity is in good standing and order the certificate.
  2. Choose a commercial or noncommercial registered agent with a Mississippi street address.
  3. Search the business name and reserve it for $25 if you need time.
  4. File Form F0200 for $250 through the portal's out-of-state registration button.
  5. Calendar April 15 for the $250 annual report.
  6. Check city privilege license and sales tax requirements for each location.

Mississippi's Small Business Development Center network can help you work through these steps at no charge. The lead center is hosted by the University of Mississippi, with 19 locations statewide. Complex situations, such as multistate payroll, property in more than one state, or a corporation with Mississippi income, should involve a qualified attorney and a CPA.
